Terms of Service

1. Acceptance of Terms

By accessing or using the Civon platform at civon.org (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

The Platform is operated by Copygen Inc. ("Civon," "we," "us," or "our"), a company incorporated in the State of Delaware, United States.

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Platform. Continued use after changes constitutes acceptance of the updated Terms.

2. Description of Service

Civon is a civic mobilization and fundraising platform designed for organizations and individuals who want to create change. The Platform enables users to:

  • Create, publish, and promote petitions
  • Collect signatures from supporters
  • Manage fundraising campaigns and accept donations
  • Send email communications to supporters
  • Manage supporter relationships (CRM)
  • Analyze campaign performance and supporter engagement

Civon acts as a technology platform. We provide the tools; organizations and individuals are responsible for the content, campaigns, and causes they promote through the Platform.

3. Account Registration

To use most features of the Platform, you must create an account. By registering, you agree that:

  • You are at least 16 years of age.
  • The information you provide is accurate, complete, and current.
  • You will keep your login credentials secure and confidential.
  • You are responsible for all activity on your account.
  • You will notify us immediately if you suspect unauthorized use of your account.

You may register using your email address or through a third-party authentication provider (such as Google). When using third-party authentication, you authorize us to receive your basic profile information from that provider.

4. Organization Accounts

Organizations that register on Civon are responsible for:

  • The accuracy and legality of all campaigns, petitions, and content they publish.
  • Compliance with all applicable laws and regulations, including data protection, fundraising, and campaign finance laws in their jurisdiction.
  • Ensuring that funds raised through the Platform are used as represented to donors.
  • Managing their own subscriber and supporter relationships in accordance with applicable law.

Civon is not a registered charity, political committee, or fundraising entity. Organizations are solely responsible for any regulatory filings, disclosures, or registrations required by law.

5. User Content

"User Content" includes any text, images, data, or other material you submit to the Platform, including petition text, campaign descriptions, comments, and profile information.

5.1 Ownership

You retain ownership of all User Content you submit. We do not claim ownership of your content.

5.2 License Grant

By submitting User Content, you grant Civon a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, host, store, reproduce, modify, distribute, display, and communicate your content as necessary to provide and promote the Platform. This includes displaying petitions publicly, sending campaign emails, and sharing campaigns through social media integrations.

5.3 Responsibility

You represent and warrant that you have all necessary rights to submit your User Content and that it does not infringe any third-party rights. You are solely responsible for the content you publish.

6. Petition Rules

When creating or participating in petitions on the Platform, you agree to the following:

  • Petitions must address genuine civic, social, or organizational concerns.
  • Petition content must be truthful and not misleading.
  • Petitions must not promote hate speech, violence, discrimination, or illegal activity.
  • Fraudulent petitions (e.g., using fake signatures, misrepresenting support) are strictly prohibited.
  • Petitions targeting individuals must not amount to harassment or defamation.

Civon reserves the right to remove petitions that violate these rules or applicable law, with or without prior notice.

7. Fundraising and Payments

Civon enables organizations to collect donations from supporters. All payment processing is handled by Stripe, our third-party payment processor.

  • Donations are made directly to the organization running the campaign. Civon is not a party to the donation transaction.
  • Civon retains a service commission on transactions processed through the Platform. Commission rates are disclosed to organizations separately in their service agreement.
  • Donors agree to the terms of the specific campaign at the time of donation.
  • Refund policies for donations are determined by the receiving organization, subject to applicable law and Stripe's terms.
  • Civon does not guarantee that funds will be used for any particular purpose. Donors should evaluate campaigns before contributing.

8. Prohibited Conduct

You may not use the Platform to:

  • Violate any applicable law or regulation.
  • Send spam, unsolicited communications, or bulk messages.
  • Scrape, crawl, or use automated means to access or extract data from the Platform without written permission.
  • Upload or transmit malware, viruses, or any code designed to disrupt or damage the Platform.
  • Impersonate any person or organization, or misrepresent your affiliation.
  • Interfere with or disrupt the Platform's infrastructure or other users' experience.
  • Attempt to gain unauthorized access to any part of the Platform, other accounts, or systems.
  • Use the Platform for money laundering, fraud, or any other illegal financial activity.
  • Circumvent any security or access controls of the Platform.

9. Intellectual Property

All rights, title, and interest in the Platform, including the website, software, design, logos, trademarks, and content created by Civon, are and remain the exclusive property of Copygen Inc. and its licensors.

You may not copy, modify, distribute, sell, or create derivative works based on the Platform or any of its components without our prior written consent.

The name "Civon," the Civon logo, and related marks are trademarks of Copygen Inc. You may not use them without our written permission.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We do not guarantee the success of any petition or campaign, the number of signatures collected, or the amount of donations received.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COPYGEN INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO CIVON IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Copygen Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any applicable law or the rights of any third party.
  • Any campaign or fundraising activity you conduct through the Platform.

13. Termination

You may close your account at any time by contacting us at hello@copygen.ai.

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if your conduct harms the Platform or other users. Upon termination:

  • Your right to access and use the Platform ceases immediately.
  • We may delete your account data, subject to legal retention requirements.
  • Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Platform shall be resolved exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of those courts.

Before filing any formal claim, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days. Most issues can be resolved quickly through direct communication.

15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Civon regarding the Platform.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
